These Terms of Service ("Terms") govern your use of the website visrankco.com and the services provided by VisRank LLC ("VisRank Co.," "we," "us," or "our"). By accessing our website, submitting an intake form, or utilizing our services, you agree to these Terms.

1. Services Provided

VisRank LLC provides local search visibility services, automated Google Business Profile management, reputation workflow automation, and related consulting for local trade businesses.

2. Customer Lists & TCPA Consent Representation

If you participate in our review sprints or automated messaging workflows:

- You explicitly represent and warrant that all customer phone numbers and contact details provided to VisRank LLC belong to individuals who have given prior express consent to receive service updates, transactional messages, and follow-up communications from your business via mobile SMS/MMS.

- You agree to maintain verifiable records of such consent (e.g., verbal at dispatch, signed work order invoice, or written opt-in) and acknowledge that VisRank LLC reserves the right to exclude any contacts lacking clear consent documentation.

- You agree to indemnify and hold harmless VisRank LLC, its members, officers, and contractors against any third-party claims, penalties, or damages arising under the Telephone Consumer Protection Act (TCPA) or carrier regulations related to contact information provided by your business.

3. SMS & MMS Communications Terms

- Message Frequency: Message frequency varies based on project completion and active campaigns.

- Cost: Message and data rates may apply depending on your mobile carrier and service plan.

- Opt-Out: Recipients may opt out of receiving text messages at any time by texting STOP in response to any message.

- Help: For assistance, recipients may text HELP or contact us directly at [email protected].

4. Billing, Retainers & Cancellation

- Free Trials: The 14-Day Review Sprint is provided free of charge with no credit card required. Reviews earned during the trial remain permanently on the client’s public profile.

- Ongoing Retainers: Paid subscriptions (e.g., our Local Dominance Retainer at $499/month) are billed in advance on a recurring monthly basis via Stripe.

- Territory Exclusivity: Where applicable, territory reservations (e.g., one trade contractor per 10-mile radius) remain valid solely while the client's monthly retainer remains active and in good standing.

- Cancellation: Retainer services may be cancelled by providing notice prior to the next billing cycle.

5. Limitation of Liability

To the fullest extent permitted by applicable law, VisRank LLC shall not be liable for indirect, incidental, punitive, or consequential damages, or loss of profits or revenue arising out of or related to the use of our services or public platform algorithm shifts (including changes implemented by Google, Meta, or wireless carriers).

6. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
